Acceptance of Terms

By accessing the Appmotiv website or using our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our website or services.

These terms constitute a legally binding agreement between you and Appmotiv Tech Innovations (“Appmotiv,” “we,” “us,” or “our”). We may update these terms from time to time, and continued use after changes constitutes acceptance of the updated terms.

Services Overview

Appmotiv provides AI-powered systems, automation platforms, SaaS product engineering, AI agents, internal business tools, workflow infrastructure, scalable backend systems, mobile applications, and full-stack product development services.

Each engagement is governed by a separate Service Agreement that outlines the specific scope, deliverables, timelines, and terms applicable to that project. These Terms of Service apply to all engagements unless explicitly overridden by a signed Service Agreement.

We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice to affected clients.

Intellectual Property

Upon full payment for services, all intellectual property rights to custom code, designs, and deliverables created specifically for your project are transferred to you, unless otherwise specified in your Service Agreement.

Appmotiv retains the right to use any general methodologies, frameworks, tools, and libraries developed during the course of work, provided they do not contain your confidential information or proprietary business logic.

We reserve the right to display work completed for clients in our portfolio, case studies, and marketing materials, unless a non-disclosure agreement prohibits such use. Client logos may be used as references unless otherwise requested.

Client Responsibilities

You agree to provide timely access to the information, resources, and personnel necessary for us to complete the project. Delays caused by incomplete or late client input may affect project timelines and costs.

You are responsible for obtaining any necessary rights, licenses, or permissions for third-party assets, content, or data you provide as part of the project. You warrant that any materials you provide do not infringe on third-party rights.

You agree to provide prompt feedback and approval at agreed-upon milestones. Extended delays in feedback may result in adjusted timelines and, in some cases, additional costs.

Payment Terms

Payment terms are specified in each Service Agreement. Unless otherwise agreed, payments are due within 30 days of invoice date. Late payments may result in a pause of work and accrual of interest at the rate specified in the agreement.

Project fees are based on the scope defined in the Service Agreement. Changes to scope will be documented through a change order process and may result in adjusted fees and timelines.

All fees are exclusive of applicable taxes, which will be added to invoices as required by law. Clients are responsible for any withholding taxes or other tax obligations in their jurisdiction.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. Confidential information includes business strategies, technical architectures, source code, business data, and any information clearly marked as confidential.

Confidentiality obligations survive the termination of the engagement for a period of three years. Information that becomes publicly available through no fault of the receiving party is not subject to these restrictions.

We may disclose confidential information if required by law, provided we give you reasonable notice of such requirement where legally permissible.

Limitations of Liability

Appmotiv’s liability for any claim arising from our services is limited to the total fees paid for the specific project giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption.

We perform services with professional care and skill, but we cannot guarantee that our systems will be error-free or uninterrupted. We are not liable for delays caused by factors outside our reasonable control, including acts of God, pandemics, or third-party service disruptions.

This limitation of liability applies to the maximum extent permitted by applicable law. Some jurisdictions do not allow certain liability limitations, so this provision may not apply to you in its entirety.

Termination

Either party may terminate an engagement with 30 days written notice. In the event of termination, you are responsible for payment for all work completed up to the termination date, plus any non-cancellable third-party costs incurred.

We may terminate immediately if you fail to comply with these terms or your obligations under the Service Agreement, including non-payment. In such cases, you remain liable for all amounts due for work completed.

Upon termination, we will deliver all completed work products for which payment has been received. Sections of these terms that by their nature should survive termination (including confidentiality, intellectual property, and liability) will remain in effect.

Changes to Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated “Last updated” date. Material changes will be communicated directly to active clients.

Your continued use of our website or services after changes are posted constitutes acceptance of the updated terms. We encourage you to review these terms periodically.

Governing Law

These terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these terms will be resolved in the courts of California.

We encourage open communication to resolve any issues before pursuing legal action. Both parties agree to attempt to resolve disputes through good-faith negotiations before initiating formal proceedings.
